Bybull Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Bybull platform, including our website, AI-powered trading assistant, and related services (collectively, the "Services"), operated by Tensfer Technologies ("Bybull," "we," "us," or "our").
By creating an account or using the Services, you agree to be bound by these Terms, our Privacy Policy, and our Record Retention Policy. If you do not agree, do not use the Services.
1. Eligibility
- You must be at least 18 years of age.
- You must not be a resident of a jurisdiction where cryptocurrency trading or the Services are prohibited by law.
- You must not be listed on any sanctions list maintained by OFAC, the United Nations, or any applicable regulatory authority.
- You must have the legal capacity to enter into a binding agreement.
2. Description of Services
Through Bybull you can:
- Trade a range of markets: Buy, sell, and trade US stocks, commodities (such as gold and oil), and cryptocurrencies, on both spot and perpetual (leveraged) markets, settled on the Hyperliquid network.
- Self-custody wallet: Your funds are held in a blockchain wallet that only you control. You fund it, trade from it, and withdraw from it at any time.
- Naira deposits and withdrawals: Fund your wallet in Naira and cash out to your bank account, facilitated through a licensed payment partner.
- AI assistant: A conversational interface for analysing markets and placing trades in plain language.
- Price alerts and market data: Real-time and historical price information and configurable alert notifications.
Bybull is a self-custody platform. Your assets are held in a wallet that only you control; Bybull does not hold, custody, or control your funds, and cannot freeze, seize, or move them. You are solely responsible for safeguarding your wallet, keys, and recovery credentials. Trades are executed on the Hyperliquid network, not by Bybull.
3. Account Registration and Security
3.1 Account Creation
You register and sign in with your email address through our authentication provider (Privy). You are responsible for maintaining access to, and the security of, the email account you use to sign in.
3.2 KYC Verification
Certain features require identity verification (KYC) in compliance with Anti-Money Laundering (AML) regulations. You agree to provide accurate and current identity information when requested.
3.3 Transaction PIN
You must set a transaction PIN to authorize trades and withdrawals. You are responsible for keeping your PIN confidential. Five consecutive failed PIN attempts will trigger a 30-minute temporary lock. Ten consecutive failed attempts will freeze transaction capabilities on your account until you reset your PIN via email verification.
3.4 Wallet and Key Security
Bybull is self-custodial: your assets live in a wallet that only you control. You are responsible for safeguarding your wallet credentials and recovery information. Because we never hold your keys, Bybull cannot reverse a transaction, recover lost keys, or restore access to a wallet on your behalf. Anyone who obtains your credentials can move your funds.
4. Acceptable Use
You agree not to:
- Use the Services for any illegal purpose, including money laundering, terrorist financing, or sanctions evasion.
- Attempt to manipulate markets, engage in wash trading, or execute trades designed to artificially influence prices.
- Attempt to gain unauthorized access to the Services, other users' accounts, or our systems.
- Submit malicious content, scripts, or prompt injection attacks through the AI assistant or any input field.
- Use the AI assistant for purposes unrelated to the Services (e.g., general knowledge queries, content generation). Repeated off-topic use may result in temporary or permanent restrictions.
- Reverse-engineer, decompile, or disassemble any part of the Services.
- Use automated systems, bots, or scrapers to access the Services without our written permission.
- Exceed applicable transaction limits or circumvent velocity controls.
5. Fees and Charges
- Transaction fees are displayed before you confirm any trade or transfer. By confirming, you authorize the deduction of applicable fees.
- Fee schedules may change with prior notice. Updated fees apply to transactions initiated after the effective date of the change.
- Trading fees on the underlying network, blockchain network (gas) fees, and bank transfer fees are charged by third parties and are not controlled by Bybull.
- All fees are non-refundable unless otherwise required by applicable law.
6. Risks and Disclaimers
6.1 Trading and Market Risk
Trading involves substantial risk of loss. Prices of crypto assets, commodities, and stocks are volatile and can decline significantly in short periods. Past performance does not guarantee future results. You should only trade with funds you can afford to lose.
6.2 Leverage and Perpetual Futures Risk
Perpetual futures are leveraged products. Leverage amplifies both gains and losses, and a position may be liquidated automatically if the market moves against you, resulting in the loss of some or all of the margin committed to that position. Funding payments and rapid price movements can erode a position quickly. Leveraged trading is high-risk and is not suitable for everyone.
6.3 Stocks, Commodities, and Tokenized Exposure
Products referencing US stocks and commodities provide price exposure to an underlying asset and may be structured as derivatives or tokenized instruments. Depending on the product, you may not own the underlying share or commodity and may have none of the voting, dividend, or other rights of a direct holder. These markets carry their own risks, including corporate-action, tracking, and settlement risk.
6.4 Self-Custody Risk
Because you hold your own funds, you bear sole responsibility for their security. Blockchain transactions are generally irreversible. If you lose your wallet credentials or recovery information, or send funds to an incorrect address, your funds may be permanently lost, and Bybull cannot recover them.
6.5 No Financial Advice
Nothing in the Services constitutes financial, investment, legal, or tax advice. The AI assistant provides market analysis and executes your instructions; it does not make recommendations or provide personalized financial guidance. You are solely responsible for your trading decisions.
6.6 Third-Party Services and Networks
The Services rely on third parties, including the Hyperliquid network and our payment partners. We are not responsible for the availability, accuracy, or security of these third parties. Network congestion, outages, errors, or security incidents outside our systems are beyond our control.
6.7 Service Availability
The Services are provided "as is" and "as available." We do not guarantee uninterrupted access, error-free operation, or that the Services will meet your specific requirements.
7. Limitation of Liability
To the maximum extent permitted by applicable law, Bybull and its officers, directors, employees, and affiliates shall not be liable for:
- Any indirect, incidental, special, consequential, or punitive damages.
- Loss of profits, revenue, data, or business opportunities arising from your use of the Services.
- Trading losses resulting from market movements, failed transactions, liquidations, or network or venue downtime.
- Losses resulting from unauthorized access to your account caused by your failure to secure your credentials.
Our total aggregate liability for any claim arising from the Services shall not exceed the total fees you paid to Bybull in the 12 months preceding the claim.
8. Indemnification
You agree to indemnify, defend, and hold harmless Bybull and its affiliates from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your breach of these Terms, your use of the Services, or your violation of any law or third-party rights.
9. Account Suspension and Termination
- We may suspend or terminate your account if we reasonably believe you have violated these Terms, engaged in fraudulent activity, or pose a risk to other users or the platform.
- You may terminate your account at any time by requesting account deletion through the app. Account deletion is processed as described in our Privacy Policy.
- Upon termination, your right to use the Services ceases immediately. Transaction records are retained as required by law.
10. Intellectual Property
All content, software, designs, and trademarks associated with the Services are the property of Tensfer Technologies or its licensors. You are granted a limited, non-exclusive, non-transferable license to use the Services for personal, non-commercial purposes in accordance with these Terms.
11. Dispute Resolution
11.1 Governing Law
These Terms are governed by the laws of the Federal Republic of Nigeria. For users in California, mandatory consumer protection provisions of California law apply to the extent required.
11.2 Arbitration
Any dispute arising from these Terms or the Services shall be resolved by binding arbitration administered under the Arbitration and Conciliation Act (Cap A18, Laws of the Federation of Nigeria), unless you are a California resident exercising rights under the CCPA that require court jurisdiction.
11.3 Class Action Waiver
To the extent permitted by law, you agree to resolve disputes on an individual basis and waive any right to participate in class action lawsuits or class-wide arbitration.
12. Changes to These Terms
We may modify these Terms at any time. Material changes will be communicated through an in-app notice requiring your acceptance before continued use. If you disagree with updated Terms, you must stop using the Services and may request account deletion. The "Last Updated" date indicates the most recent revision.
13. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
